Welcome to EHSWatch. These Terms of Service (“Terms”) govern your access to and use of the website ehswatch.com (the “Site”), our mobile application (the “App”), and our AI-powered EHSQ SaaS platform and related services (collectively, the “Services”), provided by Exceego Infolab Inc. (“EHSWatch,” “we,” “us,” or “our”).
By accessing or using the Site, App, or Services, you agree to be bound by these Terms and confirm that you have read and understood our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, please do not access or use the Services.
1. Eligibility and Accounts
To use the Services, you must be authorised by your organisation to do so, or otherwise have the legal capacity to enter into a binding agreement. If you are creating an account on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us immediately at sales@ehswatch.com if you become aware of any unauthorised use of your account.
2. Description of Services
EHSWatch provides a SaaS platform designed to help organisations manage Environmental, Health, Safety and Quality (EHSQ) processes, including but not limited to Action Tracker, Audit Management, Communications, Customer Complaints, Emergency Drills, File Management, HSE Monthly Statistics, HSE Plans, Incident Management, Inspection Management, Legal Register, Mutual Aid, Non-Conformance, Observations, Risk Assessment, and Surveys, accessible via web and mobile applications, including reporting functionality via WhatsApp.
We may add, modify, suspend, or discontinue any part of the Services at our discretion, with reasonable notice where practicable, particularly for material changes affecting active customer agreements.
3. Customer Data and Ownership
As between EHSWatch and the customer organisation, the customer retains all rights, title, and interest in and to the data it submits or generates through the Services (“Customer Data”), including incident reports, audit records, risk assessments, and related documentation.
EHSWatch is granted a limited licence to access, use, process, and store Customer Data solely for the purpose of providing, maintaining, supporting, and improving the Services, in accordance with our Privacy Policy and any applicable customer agreement.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable regulation.
- Attempt to gain unauthorised access to the Services, other accounts, or our systems and networks.
- Interfere with or disrupt the integrity or performance of the Services.
- Upload or transmit any content that is unlawful, defamatory, or infringes on the rights of any third party.
- Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law.
- Use automated means (bots, scrapers) to access the Services without our prior written consent.
We reserve the right to suspend or terminate access for any user found to be in violation of these Terms.
5. Subscription, Fees, and Payment
Access to certain features of the Services may require a paid subscription, governed by a separate order form or agreement between EHSWatch and the customer organisation. Fees, billing cycles, and payment terms will be set out in that agreement. Failure to make timely payment may result in suspension or termination of access to the Services, subject to the terms of the applicable agreement.
6. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and other content (excluding Customer Data), are the property of EHSWatch or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services, other than the limited right to use the Services as expressly permitted herein.
7. Third-Party Links and Integrations
The Services may contain links to, or integrations with, third-party websites or platforms (including WhatsApp). EHSWatch does not control or endorse these third parties and is not responsible for their content, products, services, or privacy practices. Your use of any third-party services is at your own risk and subject to their respective terms.
8. Disclaimers
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. EHSWatch does not warrant that the Services will be uninterrupted, error-free, or completely secure.
EHSWatch’s Services are designed to support EHSQ management and compliance monitoring, but they do not replace an organisation’s own legal or regulatory compliance obligations, professional judgment, or on-the-ground safety procedures.
9. Limitation of Liability
To the maximum extent permitted by applicable law, EHSWatch and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising from or related to your use of, or inability to use, the Services, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for matters that cannot be limited or excluded under applicable law.
10. Indemnification
You agree to indemnify and hold harmless EHSWatch and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of any applicable law or third-party right.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, us, or third parties. Customer organisations may terminate their subscription in accordance with the terms of their specific agreement with EHSWatch.
12. Governing Law and Dispute Resolution
